2. Who these Terms apply to

These Terms apply to visitors to this website and to clients who engage us for website or related services. Additional written agreements (such as proposals or service orders) may apply to specific projects and, where there is a conflict, those written agreements generally control for that project.

3. Using the website

You agree that you will:

• Use the site only for lawful purposes and in compliance with applicable laws.
• Not attempt to interfere with or disrupt the operation or security of the site.
• Not attempt to access data or systems you are not authorized to access.

4. Our core offer

The core Foxes.ai offer is a FREE custom website built for your business, with optional hosting and maintenance starting at $49/mo. Unless otherwise agreed in writing:

• We design and build a website for your business and host it for you.
• You do not pay until you approve the website and choose to keep it.
• The monthly fee covers hosting, uptime monitoring, security updates, and fixes if something breaks.
• Design changes, new pages, new features, SEO, and other add‑ons are quoted separately.

Specific details (pricing, payment method, scope of work, timelines, add‑ons) are confirmed in writing between you and us (for example by email, proposal, or invoice).

5. Ownership of website and content

• Your content: You retain ownership of all text, images, logos, and other materials you provide to us. You grant us a non‑exclusive license to use that content as needed to build, host, and maintain your website.
• Site and code: Once you have paid any agreed setup fees (if any) and are current on your monthly payments, you have a broad license to use the website we build for you for your business.
• Transferring away: If you decide to move your website elsewhere, we will provide a reasonable export or hand‑off of your site’s code and assets so another provider can host it. We may charge a fair, one‑time fee for complex migrations if agreed in advance.

6. Payments, renewals, and cancellations

• Billing: Monthly fees are typically charged automatically via a third‑party payment processor. By becoming a client, you authorize recurring charges until you cancel.
• Late or failed payments: If a payment fails and is not promptly corrected, we may pause or disable your website until payment is brought up to date.
• Cancellation: You may cancel future monthly payments at any time by contacting us. Your site will generally remain live until the end of your paid period, after which we may take it offline if you have not arranged a transfer.

7. No meetings, lean process

Our model is intentionally lean: we aim to minimize meetings and back‑and‑forth calls so we can keep prices lower than traditional agencies. Most communication will be handled via email or written updates, unless otherwise agreed for a specific engagement.

8. Acceptable use and client responsibilities

You agree that you will not use any website we build or host for you to:

• Engage in illegal activities, fraud, or deceptive practices.
• Distribute malware, spam, or other harmful content.
• Infringe the intellectual property or privacy rights of others.
• Host content that is abusive, hateful, or incites violence.

You are responsible for the accuracy and legality of the content you provide. If we believe your site violates laws or these Terms, we may suspend or terminate service.

9. Intellectual property

The Foxes.ai brand, logo, underlying frameworks, and any internal tools, processes, or templates we use remain our intellectual property. You are granted the rights necessary to run your website, but you may not resell or redistribute our proprietary systems as your own product.

10. Disclaimer of warranties

We aim to build fast, reliable websites, but the Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

We do not guarantee any specific business results, revenue, search rankings, or customer growth. Performance can depend on many factors beyond our control (your industry, competition, offers, ad spend, etc.).

11. Limitation of liability

To the fullest extent permitted by law, Lazarus LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or relating to your use of the Services.

Our total liability for any claim related to the Services will not exceed the amount you paid us for the Services in the twelve (12) months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Lazarus LLC harmless from any claims, damages, or expenses (including reasonable legal fees) arising out of: (a) your use of the Services; (b) content you supply; or (c) your breach of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have breached these Terms, failed to pay amounts due, or are using the Services in a way that may cause harm or legal risk.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Wyoming, and you consent to the jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of the site or Services after changes means you accept the revised Terms.
